Terms

These terms apply to work carried out by Certi Technologies Ltd, trading as Nightshift, company number 16956446, registered in England and Wales.

The website

The intake chat gives rough scopes and an indication of the size of a job. Nothing it says is a quote or an offer, and nothing it says forms a contract. Prices, timescales and scope are only agreed once I have confirmed them in writing.

The chat is automated. It can be wrong. Do not rely on it for decisions of any consequence, and do not treat it as professional advice.

Quotes and scope

Every job is quoted at a fixed price, in writing, before it starts. The written scope sets out what is included, what is not, and the acceptance criteria the finished work will be measured against.

Anything outside that scope is a change, and a change is quoted separately before I start it. I will not do extra work and invoice you for it afterwards.

Payment

Small jobs, £1,000 to £3,500, are invoiced in full before work begins.

Automations, £5,000 to £8,000, are half on acceptance of the scope and half when the work meets the acceptance criteria.

Larger builds are quoted and invoiced per phase, as set out in the scope.

Invoices are payable within seven days. Late payments may be subject to statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.

Acceptance

When I deliver the work I will show it running against your acceptance criteria. If it does not meet them, tell me in writing within five working days and I will fix it at no cost. If I have not heard from you within five working days of delivery, the work is treated as accepted.

Ownership

You own the code I write for you, and the accounts and services it runs on, once you have paid in full. Until then, ownership stays with me.

I keep ownership of any general tools, libraries or techniques I bring to the job that were not written specifically for you, and you get a licence to use them as part of your build.

After delivery

Fixes to anything that does not work as scoped are included for thirty days after acceptance. After that, further work is quoted separately or charged hourly. There is no retainer and no ongoing commitment on either side.

Third party running costs, hosting, model usage, API charges, are yours. I will tell you what they are before we start.

Things outside my control

I depend on services I do not run, including the APIs and platforms your systems already use. If one of those changes or stops working, I will tell you and we will agree what to do. It is not a defect in the work.

I need timely access to your systems, data and people. If that does not arrive, timescales move.

Liability

I do not exclude liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be excluded by law.

Otherwise my total liability for any job is limited to the fees you have paid me for that job, and I am not liable for loss of profit, loss of business, loss of data or any indirect loss.

You are responsible for keeping your own backups.

Confidentiality

I will not disclose your confidential information or use it for anything other than your work. I am happy to sign your NDA if you have one.

I will not name you as a client publicly without asking first.

General

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

If any part of these terms is found to be unenforceable, the rest still applies.
